Terms of Service

These Terms of Service ("Terms") govern your access to and use of Escrobro's websites, applications, and services (collectively, the "Service") provided by Escrobro, Inc. ("Escrobro," "we," "us"). By using the Service, you agree to these Terms.
Eligibility
The Service is intended for licensed real estate professionals, transaction coordinators, and parties they invite to active deals. You must be at least 18 years old and able to form a binding contract. If you use the Service on behalf of a brokerage, you represent that you have authority to bind that organization.
Accounts and access
You are responsible for maintaining the security of your email account used for magic-link authentication. You are responsible for activity under your account. Notify us immediately at support@escrobro.com if you suspect unauthorized access.
Agents control participant access to transaction workspaces. You are responsible for inviting only appropriate parties and for the content you upload or share within a deal.
Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of real estate licensing requirements in your jurisdiction
- Upload malware, attempt unauthorized access, or interfere with the Service's operation
- Scrape, reverse engineer, or resell access to the Service without written permission
- Upload content you do not have the right to share, including documents containing others' personal data without proper consent
- Use the Service to send spam or unsolicited communications outside of legitimate transaction coordination
Your content
You retain ownership of documents, messages, and other content you submit to the Service ("Your Content"). You grant Escrobro a limited license to host, store, and display Your Content solely to provide the Service to you and participants you authorize.
You represent that you have all necessary rights to Your Content and that it does not infringe third-party rights or violate applicable law.
Our intellectual property
Escrobro owns the Service, including its software, design, and branding. These Terms do not grant you any rights to our trademarks or proprietary technology except the limited right to use the Service as described here.
Subscription and payment
Paid plans are billed according to the pricing in effect at signup or renewal. Fees are non-refundable except where required by law or explicitly stated otherwise. We may change pricing with at least 30 days' notice to existing subscribers.
You may cancel at any time. Cancellation takes effect at the end of the current billing period. We do not charge cancellation fees.
Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Escrobro is a coordination tool. We do not provide legal, title, escrow, or real estate brokerage services. We are not a party to your transactions. You are solely responsible for compliance with applicable laws, contract requirements, and fiduciary duties.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESCROBRO WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID ESCROBRO IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100).
Indemnification
You will indemnify and hold Escrobro harmless from claims arising from Your Content, your use of the Service, or your violation of these Terms.
Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or if required for legal or security reasons. Upon termination, your right to access the Service ends. Provisions that by their nature should survive will survive.
Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there.
Changes
We may modify these Terms. We will post the updated Terms on this page and update the effective date. Material changes will be communicated via email or in-product notice at least 30 days before they take effect.
